| Fairness Opinions |
|
Conflicts of interest between management, directors, and shareholders are inevitable in today’s complex business environment. Chartwell’s independent fairness opinions help corporate fiduciaries, such as company directors and ESOP Trustees, make informed business decisions in complex transactions. A fairness opinion represents an independent, objective analysis of the transaction and the related benefits to be received by the various parties to the transaction. By conducting thorough due diligence and financial analysis of the transaction, a Chartwell fairness opinion provides corporate fiduciaries the confidence to proceed with the transaction. For transactions that involve significant debt capital, a solvency opinion is sometimes required by a lending institution or by state statute. An independent solvency opinion expresses a judgment as to the ability of the company to remain solvent following the assumption of the debt. The solvency opinion also considers a balance sheet test to determine if the fair value of the company’s assets exceeds the fair value of its liabilities on a post transaction basis. |
